These Terms of Service ("Terms") govern your use of prettyknitla.com (the "Site") and any purchase from Pretty Knit ("Pretty Knit", "we", "us"). By using the Site or placing an order, you agree to these Terms, our Refund Policy, our Shipping Policy and our Privacy Policy.

1. Wholesale only

Pretty Knit sells exclusively to retail businesses purchasing for resale. To see pricing and place orders you must apply for a wholesale account and provide a valid resale certificate or seller's permit. We may approve, decline, suspend or close any account at our discretion, including accounts whose information cannot be verified. You are responsible for keeping your login secure and for all activity under your account.

2. Products and pricing

Styles are sold by the pack (standard pack: sizes S·M·L in a 3·2·1 ratio, 6 pieces, unless noted on the product). Wholesale prices are visible only to approved, logged-in accounts and may change without notice. Prices do not include shipping or applicable taxes. We try to show colors and details accurately, but colors may vary slightly by screen and dye lot. If a product is listed at an incorrect price because of an error, we may cancel the order and refund any payment.

3. Orders and minimums

Orders are subject to our minimum order amount shown at checkout and in our Wholesale Terms. All orders are subject to availability and acceptance. We may limit quantities or decline or cancel an order, in which case any payment for the cancelled portion is refunded. We never substitute styles or colors without your consent.

4. Payment

Orders are prepaid by credit/debit card, Shop Pay, or bank transfer (ACH or wire). Bank-transfer orders ship after funds clear. Net terms, if offered, must be approved in writing; invoices are due within the agreed term, and overdue balances may pause new shipments.

5. Sales tax

We collect sales tax where required by law. Orders may be treated as tax-exempt only when a valid resale certificate for the ship-to state is on file with us.

6. Shipping, returns and cancellations

Shipping is described in our Shipping Policy. Returns, claims and cancellations are described in our Refund Policy. Title and risk of loss pass to you when the order is handed to the carrier or picked up at our showroom.

7. Resale and advertised pricing

Products are for resale through your own retail channels. We ask partners not to advertise Pretty Knit products below our suggested retail price. We may end a wholesale relationship that harms the brand, including unauthorized resale to other wholesalers.

8. Intellectual property

All designs, product names, photographs, text and graphics on the Site belong to Pretty Knit or its licensors. Approved retailers may use our product photographs only to advertise and sell genuine Pretty Knit products. You may not copy, reproduce, or manufacture our designs, or use our name or images in a way that suggests we endorse another product.

9. Acceptable use

You agree not to misuse the Site, including by attempting to access accounts or data that are not yours, interfering with the Site's operation, scraping pricing or content with automated tools, or using the Site for any unlawful purpose.

10. Disclaimer and limitation of liability

The Site and products are provided "as is" to the fullest extent permitted by law. Except where the law does not allow it, Pretty Knit is not liable for indirect, incidental or consequential damages, lost profits or lost sales, and our total liability for any claim relating to an order is limited to the amount you paid for the affected products.

11. Indemnification

You agree to indemnify and hold Pretty Knit harmless from claims arising from your breach of these Terms or your resale of our products, including any claims by your customers relating to how you market or sell them.

12. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Los Angeles County, California.

13. Changes

We may update these Terms from time to time. The updated version applies from the date posted on this page; continuing to use the Site or place orders means you accept the changes.
